1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the services provided by Arbitto Finance ("Arbitto", "we", "us", or "our"), including Real World Asset (RWA) tokenization, decentralized finance (DeFi) investment products, and offline quantitative finance services for yield optimization (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our policies referenced herein. If you do not agree, do not use the Services.

2. Company Information

Arbitto Finance is a company registered in Hong Kong. Our principal address is Rm 1204, 12/F., K Wah Centre, 191 Java Road, North Point, Hong Kong.

3. Eligibility

  • You must be of legal age and have capacity to enter into a binding agreement under the laws of your jurisdiction.
  • You are solely responsible for ensuring that your use of the Services complies with local laws and regulations.
  • Access to certain products (including DeFi/RWA products) may be restricted in some jurisdictions. We may impose eligibility, suitability, and onboarding requirements, including identity verification (KYC/KYB) and anti-money laundering/counter-financing of terrorism (AML/CFT) checks.

4. Description of Services

  • RWA Tokenization: Frameworks to tokenize eligible real-world assets (e.g., certificates or asset interests) subject to legal, technical, and operational requirements.
  • DeFi Investment Products: Access to or facilitation of on- and off-chain strategies designed for yield, subject to market risks and product-specific terms.
  • Quantitative Finance Services: Offline advisory and execution support informed by quantitative methodologies.

The specific features and availability of the Services may change without notice. Product documentation and risk disclosures may apply in addition to these Terms.

5. User Responsibilities

  • Provide accurate, complete, and up-to-date information during onboarding and promptly update any changes.
  • Maintain the security of your account and wallets; you are responsible for all activities under your credentials or addresses.
  • Comply with KYC/KYB, AML/CFT, sanctions, and other applicable compliance obligations.
  • Use the Services only for lawful purposes and in accordance with these Terms and applicable policies.

6. Risk Disclosures

  • Crypto assets and DeFi markets are highly volatile; values may fluctuate significantly and rapidly.
  • No guarantee of returns or principal. Past performance is not indicative of future results.
  • Technical risks include smart contract vulnerabilities, protocol failures, custody risks, and cyber incidents.
  • Legal and regulatory changes may affect availability, performance, or legality of products and Services.

7. Intellectual Property

We own or control all rights, title, and interest in and to the Services and related content, including the website, brand names, logos, designs, text, graphics, software, and documentation. You may not use our intellectual property without our prior written consent except as permitted by law.

8. Prohibited Activities

  • Fraud, misrepresentation, or any deceptive conduct.
  • Money laundering, terrorist financing, sanctions evasion, or other unlawful activities.
  • Market manipulation, wash trading, or abusive trading practices.
  • Interfering with or compromising the security or integrity of the Services.

9. Limitation of Liability; Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We are not liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Services, market fluctuations, smart contract or protocol risks, third-party actions, or regulatory measures.

10. Indemnification

You agree to indemnify, defend, and hold harmless Arbitto and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your breach of these Terms, violation of applicable laws, or misuse of the Services.

11. Termination

We may suspend or terminate your access to the Services at any time with or without notice for any reason, including suspected violations of these Terms or applicable law. Upon termination, your rights to use the Services will cease, but provisions that by their nature should survive will remain in effect.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Hong Kong. Subject to any agreed arbitration mechanism below, the courts of Hong Kong shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms.

13. Dispute Resolution

Disputes may, by mutual agreement, be resolved by arbitration in Hong Kong under the rules of a recognized arbitration institution. Otherwise, disputes shall be resolved by the Hong Kong courts.

14. Updates to These Terms

We may update these Terms from time to time. We will post the latest version on this page with the effective date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
